1. PurposeRecipient may access confidential information regarding the potential acquisition of
Accreditation Agency of Curaçao (AAC) (the "Transaction") on this website. This Agreement governs Recipient’s use of such information.
2. Confidential InformationIncludes all data, documents, or materials marked as confidential or which a reasonable person would deem proprietary, including, but not limited to, the following documents:
- "Strategic Opportunity: Acquisition of a Global Educational Accreditation Platform".
- "Strategic Opportunity Overview".
- "AAC: 24-Month Operational Plan".
- "AAC Acquisition: Business & Financial Snapshot"
3. ObligationsRecipient agrees to:
- Use the information solely to evaluate the Transaction.
- Not disclose, copy, or distribute the information without Discloser’s written consent.
- Protect the information with at least the same care as their own confidential data.
4. Permitted DisclosuresRecipient may share information
only with:
- Their employees/agents who need to know and are bound by equivalent confidentiality terms.
- As required by law (with prior notice to Discloser, unless prohibited).
5. No License or ObligationThis Agreement does not:
- Grant any rights to the information.
- Obligate Recipient to proceed with the Transaction.
6. Term & Survival- Term: 2 years from Effective Date.
- Survival: Obligations survive termination for 3 years.
7. RemediesDiscloser may seek injunctive relief for breaches, in addition to damages.
8. General- Governing Law: Territory of Curacao.
- No Partnership: No agency or joint venture is created.
- Entire Agreement: Supersedes all prior understandings.
